Merchant Agreement

1. Parties & Acceptance
This Merchant Agreement ("Agreement") is between MeFirst Ltd ("Platform") and the business entity registering a Shop ("Merchant", "you").
By completing business onboarding, accepting this Agreement in the product, and/or connecting a Stripe account, you agree to this Agreement, the Terms of Service, and the Privacy Policy.
2. Platform Services
MeFirst provides listing, discovery (including map-based discovery), booking calendars, hybrid payment collection via Stripe Connect, POS tools, Day's End summaries, lookbook publishing, flash-slot tools, and customer communication utilities.
MeFirst acts as a limited payment collection facilitator via Stripe Connect Destination Charges and SetupIntents. MeFirst is not your employer, franchise, joint venture, or partner in delivering services to end customers.
You remain solely responsible for service quality, premises health & safety, professional licensing, insurance, VAT, and compliance with Irish consumer and equality law.
3. Fees & Commission
MeFirst charges a base platform commission of two point two percent (2.2%) of the service value of each Stripe-facilitated Pay Now booking. Commission is collected via Stripe Connect application fees before payout to your connected account. It is not added to the customer's checkout total.
For Pay at Shop bookings you keep one hundred percent (100%) of the service balance you collect in person. Walk-in tickets and purely offline till payments that never create a Stripe charge on MeFirst do not generate Platform commission through Stripe. You remain responsible for recording and taxing offline revenue.
The Service Fee paid by customers at booking checkout covers anticipated Stripe Ireland processing costs (including VAT on those Stripe fees) on the booking value charged online. That Service Fee is not the 2.2% commission. Customers pay it on Pay Now and on Pay at Shop. Bookings settled entirely with membership credits are not charged a Service Fee.
Prepaid memberships and merch sold through MeFirst are charged to the customer at the listed price. On those sales MeFirst deducts the 2.2% commission plus the anticipated Stripe processing cost from your connected-account payout. Those processing costs are not shown to the customer as a Service Fee line on merch or membership checkouts.
There are no mandatory monthly fees to list a shop. Optional Plus (€19.99/mo) and Platinum (€24.99/mo) packages unlock reminders, marketing emails, memberships, the live queue, a merch shop, and related discovery boosts as implemented in the product. Spotlight placement on Explore remains a separate one-time Stripe Checkout amount as priced in the product.
Promotional commission discount codes issued by MeFirst reduce the platform commission percentage for the stated duration only. One Shop listing is permitted per Google account email and per premises address (including Eircode fingerprint).
4. Payments & Payouts
You must complete Stripe Connect onboarding and maintain an active, verified connected account to receive online payouts.
Customers may choose Pay at Shop (vault card / pay balance in Shop) or Pay Now (100% online) where you have enabled online booking. Gift Pay Now and multi-item carts are supported as implemented in the product.
Payout timing follows Stripe's settlement schedule for Ireland. You are responsible for all taxes, VAT charging/display choices you configure, and reporting obligations on income received.
5. Cancellations & Refunds
You must configure cancellationNoticeHours in Shop settings. This determines when a customer qualifies for a partial refund on Pay Now bookings.
For eligible Pay Now cancellations outside your notice period, ninety percent (90%) of the service amount is refunded to the customer via Stripe. The Service Fee is never refunded on a customer cancellation. The remaining ten percent (10%) hold is split as follows: MeFirst retains its 2.2% commission (the Connect application fee is not refunded) and you keep the remainder of that hold.
Pay at Shop vaulted bookings and walk-ins typically have no online charge to refund.
You agree not to circumvent MeFirst for bookings initiated on the Platform by systematically diverting those customers to off-platform payment links for the same booking.
6. Shop Listing, Staff, Media & Catalogue
You agree to keep your Shop listing accurate and lawful, including:

Accurate business name, Eircode, address, and map coordinates derived from geocoding
•
Genuine services, groups, durations, and pricing (including offers and bundles)
•
Staff roster entries that reflect real team members who may be booked
•
Shop photos within product limits (including designation of a profile image) that you have rights to use
•
Social links (Facebook, Instagram, website) that do not redirect users to competing booking platforms in place of MeFirst
•
Booking horizon, online-booking toggles, and cancellation policy settings that match your operational reality
•
Lookbook posts that comply with law and Platform content rules (including automated SafeSearch screening and daily posting limits)
7. Imported Clients & Flash Communications
If you upload client CSV history, you represent that you have a lawful basis to hold and use those contacts and that the file does not contain prohibited secret data (for example full payment-card numbers).
Flash Discount Slot alerts may email prior Platform bookers and/or imported client emails you supply. You are responsible for the content and lawfulness of that outreach. MeFirst provides sending infrastructure as a processor for that Merchant-initiated communication.
8. Prohibited Conduct
Merchants must not:

List false services, prices, staff, or availability
•
Discriminate against customers on protected grounds under Irish equality law
•
Upload infringing, offensive, deceptive, or unlawful lookbook or gallery content
•
Link to competitor booking platforms (including without limitation Fresha, Treatwell, Booksy, Vagaro, Phorest) as a substitute for MeFirst booking flows
•
Manipulate reviews, likes, follows, trending, or Spotlight outcomes via fake accounts or automated abuse
•
Misuse customer preference data, notifications, or exported appointment data
9. Spotlight, POS & Day's End
Spotlight is a paid, time-limited promotional placement on Explore. It does not guarantee bookings or revenue.
POS and Day's End tools are operational aids for till reconciliation, staff summaries, and next-day planning. You remain responsible for verifying cash/card totals against your own records and for any employment or wage calculations.
10. Data Protection
You must handle customer personal data in accordance with GDPR. Where MeFirst processes personal data on your documented instructions for Merchant features (for example storing importedClients or sending flash emails you trigger), MeFirst acts as processor and you act as controller for those purposes.
You must not upload special-category data or unnecessary sensitive data into free-text CSV fields.
11. Termination
Either party may terminate this Agreement with thirty (30) days' written notice. You may also close your Shop immediately from Settings (Delete my account). After deletion, a fourteen (14) day cooldown applies before the same email, account, or premises address may open a new Shop. MeFirst may suspend or remove a Shop immediately for breach, fraud, safety, or regulatory concerns.
Upon termination, outstanding Stripe payouts for completed online bookings will be processed per Stripe rules. Pending appointments should be honoured or cancelled/refunded appropriately under these Terms and customer law.
12. Indemnity
You agree to indemnify and hold harmless MeFirst against claims, losses, and costs arising from your services, premises, staff, imported contact lists, marketing emails you initiate, or breach of this Agreement, except to the extent caused by MeFirst's wilful misconduct or gross negligence.
13. Governing Law
This Agreement is governed by the laws of Ireland. Disputes shall be subject to the exclusive jurisdiction of the Irish courts, without prejudice to any non-excludable rights.
